These Terms of Use (“Terms”) are a legal agreement between you and RideCollective (“Ride,” “we,” “us,” or “our”) governing your access to and use of youask.ai, the RideCollective marketplace, the Ride Dealer Portal, Ride YouAsk Live Tracker, provider/driver tools, and other Ride websites, applications, software, communications, and services that link to these Terms (collectively, the “Services”).
Please read these Terms carefully. By accessing or using the Services, creating an account, posting a listing, submitting an inquiry, purchasing a plan or add-on, assigning or accepting a shipment, or otherwise indicating acceptance, you agree to these Terms and to Ride’s Privacy Policy.
If you do not agree, do not use the Services.
1. Who may use Ride
You may use the Services only if:
- you can lawfully enter into these Terms;
- you meet the age of majority and other legal-capacity requirements applicable to the transaction or feature you use;
- you are not prohibited from using the Services by applicable law;
- the information you provide is accurate and current.
If you use Ride for a corporation, dealership, provider, employer, partnership, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.
Certain features may have additional eligibility, licensing, verification, payment, location, or role requirements.
2. Additional agreements and policies
Some Ride services may be governed by additional written terms, including dealer subscriptions, provider/driver terms, promotion terms, logistics terms, finance disclosures, payment terms, or enterprise agreements.
If a separately signed or expressly accepted agreement conflicts with these Terms for a specific service, the more specific agreement controls for that service.
Ride policies and rules that are presented as binding are incorporated into these Terms.
3. What Ride is
Ride is a powersports technology marketplace and software platform.
Ride may provide tools that help users:
- discover and compare powersports inventory;
- publish and manage listings;
- communicate with dealers and sellers;
- save listings and searches;
- submit inquiries, quote requests, wanted requests, trade-in requests, and financing-interest information;
- manage dealer inventory, staff, plans, promotions, leads, conversations, comments, and reporting;
- connect dealers with delivery providers;
- plan, assign, track, and document shipments;
- process platform fees, invoices, payment authorization, and provider payouts where applicable.
Except where Ride expressly identifies itself as the seller, buyer, lender, insurer, carrier, or other contracting party for a particular service, Ride is not the buyer or seller of the powersports unit and is not a party to the underlying vehicle/unit sale between marketplace users.
A listing is generally an invitation to contact the seller, not a binding offer by Ride.
4. Marketplace transactions are between users
Buyers and sellers are responsible for the transaction they choose to enter.
Ride does not guarantee:
- that a listing is accurate, complete, current, or available;
- that a seller owns the unit or has authority to sell it;
- that a buyer will pay;
- title status, liens, registration, import status, recalls, odometer/hours accuracy, mechanical condition, safety, legality, or fitness;
- that any transaction will be completed;
- any user’s identity, honesty, creditworthiness, licensing, insurance, or conduct.
Ride may perform identity, VIN, document, dealer, provider, or account checks, but those checks are limited to their stated scope.
Users should perform appropriate due diligence before entering a transaction, including inspection, title/lien searches, recall checks, registration checks, financing review, insurance review, and independent professional advice where appropriate.
5. “Verified,” “approved,” and “eligible” indicators
Ride may display indicators such as:
- Verified;
- VIN Verified;
- Approved Dealer;
- Verified Provider;
- Eligible;
- Operationally Approved.
These indicators mean only that specified information or requirements were checked according to the applicable Ride process at a point in time.
They are not:
- a warranty;
- an endorsement;
- a certification by a government authority;
- a guarantee of ownership, title, condition, safety, insurance, licensing, competence, honesty, availability, or future compliance.
Users remain responsible for independent judgment and due diligence.
Ride may withdraw or change an indicator if information changes, expires, becomes unavailable, or no longer satisfies Ride requirements.
6. Accounts and security
You are responsible for:
- maintaining accurate account information;
- protecting passwords, authentication factors, and devices;
- all activity under your account except to the extent caused by Ride;
- promptly notifying Ride of suspected unauthorized access;
- ensuring staff accounts are assigned appropriate roles and removed when access is no longer required.
You may not:
- share personal credentials in a way that defeats role-based access;
- impersonate another person or business;
- create accounts using false or misleading information;
- access another user’s account without permission;
- bypass authentication or security controls.
Ride may require password resets, reverification, or additional authentication.
7. Dealer and commercial accounts
Dealers and commercial sellers represent and warrant that they:
- have all licences, registrations, permissions, and authority required for their business and listings;
- will keep dealer/business information current;
- will comply with applicable vehicle-sales, consumer-protection, advertising, privacy, tax, anti-spam, financing, and other laws;
- have authority to upload or synchronize inventory and customer/business data to Ride;
- will use buyer/lead information only for lawful business purposes connected to the user’s request or another valid consent/lawful basis;
- will not misuse buyer, lead, recipient, provider, or staff information.
Ride may impose onboarding, operational approval, documentation, or verification requirements before dealer features are unlocked.
8. Private sellers
A private seller must:
- have lawful authority to list and sell the unit;
- accurately identify whether the listing is private rather than commercial;
- disclose material information as required by law;
- not use a private-seller account to operate an unlicensed commercial dealership or evade dealer requirements.
Ride may reclassify, restrict, or remove accounts or listings where activity appears commercial.
9. Listing requirements
You are responsible for the content and accuracy of listings you submit.
Listings must be truthful and must not materially misrepresent:
- year;
- make;
- model;
- trim;
- VIN or identifier;
- condition;
- mileage or hours;
- location;
- price;
- ownership;
- title or lien status where disclosure is required;
- damage;
- accessories;
- availability;
- photos or description;
- seller identity.
You must not list stolen, unlawful, prohibited, counterfeit, dangerously misrepresented, or otherwise unauthorized goods.
Ride may require specific fields, photos, VIN checks, review, edits, or additional verification before a listing is published.
Ride may remove, reject, hide, archive, or restrict a listing that violates law, these Terms, Ride policy, or trust-and-safety requirements.
10. VIN decoding and specifications
Ride may use VIN decoding, third-party databases, manufacturer data, seller-supplied data, or automated systems to populate or validate listing information.
VIN decoding and specification data can be incomplete, unavailable, delayed, or incorrect.
A “VIN Verified” state does not by itself establish:
- ownership;
- title;
- lien status;
- registration;
- accident history;
- condition;
- legal importation;
- roadworthiness.
Sellers remain responsible for ensuring listing information is accurate.
11. Prices, taxes, dealer charges, and representations
Sellers are responsible for lawful and accurate pricing.
Ride may display:
- listing price;
- discount;
- estimated payment;
- taxes or fees where known;
- dealer or shipment fees;
- platform fees;
- add-on/promotional pricing.
Mandatory non-government charges imposed by Ride for a Ride service should be disclosed before the user commits to the paid service.
Taxes and government-imposed charges may be shown separately where permitted.
Nothing in Ride’s tools authorizes a seller to use deceptive pricing, false discounts, misleading fee disclosures, or other unlawful marketing practices.
12. Search, ranking, recommendations, and paid placement
Ride may organize or rank listings using factors such as:
- relevance;
- search filters;
- location;
- recency;
- listing quality;
- availability;
- buyer preferences or activity;
- seller/dealer information;
- promotional placement.
Some sellers may purchase or receive:
- Featured placement;
- homepage Carousel placement;
- Push promotion;
- other add-ons or visibility products.
Paid or promotional placement can affect visibility or ordering.
Purchasing promotion does not guarantee:
- views;
- inquiries;
- leads;
- offers;
- sale;
- any specific ranking duration except what is expressly stated.
13. Plans, listing capacity, subscriptions, and add-ons
Dealer plans, subscriptions, paid listing slots, and add-ons may have limits and eligibility rules.
Ride may enforce:
- listing capacity;
- staff-seat limits;
- promotion credits;
- Carousel capacity;
- Featured capacity;
- Push credits;
- other plan entitlements.
You may not circumvent plan limits by duplicate accounts, hidden inventory, automated creation, manipulated statuses, or other means.
The plan, price, billing cycle, included limits, add-on quantity, renewal terms, and other material purchase terms will be disclosed in the relevant purchase or account flow.
Unless Ride expressly states otherwise, fees are non-refundable after the paid service has been provided or made available, except where a refund or cancellation right is required by applicable law.
Plan upgrades, downgrades, cancellation, renewal, expiration, or reduction of entitlements may affect your ability to create, publish, promote, assign, or manage content.
Ride may prevent a downgrade or other change where current usage exceeds the target entitlement, consistent with the applicable plan rules.
14. Payments and third-party payment processors
Ride may use third-party payment processors.
By using a payment feature, you authorize Ride and the applicable payment processor to process the amounts disclosed for that transaction or service.
Payment processors may have their own terms and privacy policies.
Ride may receive tokenized payment references and limited payment metadata but does not intend to store full card numbers or card security codes in Ride application databases.
If a payment method fails or an amount becomes past due, Ride may:
- retry payment where authorized;
- suspend the affected paid service;
- restrict new paid activity;
- seek lawful collection of amounts owed.
Nothing in these Terms authorizes undisclosed charges.
15. Financing and payment calculators
Ride may offer payment calculators, financing-interest forms, or links to financing.
Unless Ride expressly states otherwise in a separate disclosure:
- Ride is not the lender;
- calculator results are estimates only;
- calculator outputs are not a credit decision;
- no rate, payment, approval, loan amount, or financing term is guaranteed;
- actual financing depends on the lender, applicant, credit profile, unit, jurisdiction, and final transaction.
Submitting a finance request authorizes the disclosures presented in that flow.
You should review the lender/dealer’s actual financing documents before accepting credit.
16. Trade-ins, wanted requests, and lead-generation tools
A wanted request, inquiry, quote request, trade-in request, or similar submission:
- is not a binding purchase or sale contract unless expressly stated;
- does not obligate a dealer to make an offer;
- does not guarantee availability, price, trade-in value, or response;
- may expire or be closed according to the feature rules.
Contact information submitted for a request may be provided to the seller/dealer or other participant identified in the flow.
17. Messaging and conversations
Ride may provide private messages or conversations among authorized users.
You must not use messaging to:
- harass or threaten;
- send unlawful spam;
- distribute malware;
- commit fraud;
- collect personal information for unrelated purposes;
- impersonate another person;
- evade restrictions or moderation;
- transmit unlawful or infringing content.
Ride may use automated systems and authorized human review to prevent abuse, investigate reports, enforce these Terms, and provide support, subject to applicable privacy law.
Messages may not be delivered in real time and may be affected by network or service delays.
18. Public comments, reviews, and feedback
Public listing comments are distinct from private buyer-dealer conversations.
If comments or reviews are enabled:
- content must be honest and relevant;
- users must not defame, harass, impersonate, or mislead;
- users must not publish private information without authority;
- sellers/dealers may have moderation tools within Ride’s rules;
- Ride may remove content that violates law, policy, or these Terms.
Nothing in these Terms prohibits a consumer from posting or communicating a lawful review where applicable law protects that right.
19. User Content and licence to Ride
“User Content” includes listings, photos, descriptions, messages where applicable to platform operation, comments, reviews, logos, documents, and other content you submit.
You retain ownership of rights you have in your User Content.
You grant Ride a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, format, adapt, transmit, distribute, and otherwise use User Content as reasonably necessary to:
- provide the Services;
- display and promote listings or dealer/provider profiles;
- operate search, sharing, syndication, moderation, security, and backups;
- improve and support the Services;
- comply with law.
You represent that:
- you own or have permission to provide the content;
- Ride’s authorized use will not infringe third-party rights;
- you have necessary consent for identifiable persons appearing in uploaded content.
This licence ends when the content is deleted from active Services, except to the extent continued retention/use is reasonably necessary for backups, legal obligations, disputes, audit records, or content previously shared with others.
20. Intellectual property
Ride and its licensors own the Services, software, designs, databases, trademarks, branding, and Ride-created content, except User Content and third-party content.
Ride grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose while you comply with these Terms.
You may not, without authorization:
- copy or commercially exploit the Services;
- scrape or extract databases;
- reverse engineer protected software except where law expressly permits;
- remove proprietary notices;
- use Ride branding in a misleading way;
- create a competing service using unauthorized Ride data.
If you believe content infringes your intellectual-property rights, contact Ride at [email protected] with sufficient information to identify the work, the disputed content, your rights, and your contact details.
21. Prohibited conduct
You must not:
- violate applicable law;
- post false, fraudulent, deceptive, or misleading content;
- sell or promote stolen or prohibited goods;
- impersonate another person or business;
- manipulate views, saves, leads, reviews, rankings, or promotional metrics;
- scrape, crawl, spider, harvest, or use automated means to access Ride without written authorization, except ordinary search-engine indexing permitted by Ride;
- overload, disrupt, probe, attack, or bypass Ride systems;
- introduce malware;
- attempt unauthorized access;
- harvest personal information;
- send spam or unlawful marketing;
- evade fees, subscriptions, eligibility rules, or enforcement;
- interfere with another user’s use of the Services;
- use Ride data to discriminate unlawfully or cause harm.
22. Moderation, investigations, and enforcement
Ride may investigate suspected misuse and may, where reasonably appropriate:
- request information;
- restrict a feature;
- remove or hide content;
- suspend or terminate accounts;
- revoke verification/approval indicators;
- prevent new listings or shipments;
- preserve evidence;
- report activity to appropriate authorities.
Ride is not obligated to monitor every listing, message, user, provider, or transaction.
Failure to remove content immediately does not mean Ride endorses it.
Where practicable, Ride may provide notice or an opportunity to correct an issue, but immediate action may be taken for fraud, security, legal, safety, or serious policy concerns.
23. Ride YouAsk Live Tracker and logistics
Live Tracker may help dealers:
- create shipment requests;
- choose pickup and delivery locations;
- calculate routes and distance estimates;
- select or invite delivery providers;
- request or receive bids;
- open opportunities to an eligible provider network;
- communicate with assigned providers;
- provide tracking links;
- store shipment evidence;
- manage shipment pricing and payment readiness.
23.1 Ride’s role
Unless expressly stated in a separate logistics agreement, Ride provides technology that facilitates logistics relationships.
Delivery companies and independent drivers are separate businesses or individuals and are not Ride employees merely because they use Ride.
Ride does not guarantee a provider’s:
- availability;
- acceptance;
- pickup time;
- delivery time;
- route;
- condition of equipment;
- conduct;
- performance.
23.2 Provider verification and eligibility
Ride may require providers to maintain:
- profile information;
- operating location;
- driver’s licence information where applicable;
- insurance information;
- expiry dates;
- dealer or Ride-admin verification.
An eligibility indicator reflects Ride’s platform rules at the time of evaluation. It is not a government licence, insurance opinion, legal advice, or guarantee of future compliance.
Dealers remain responsible for determining whether a provider is appropriate for a shipment and for any additional due diligence required by law, contract, insurance, or business policy.
23.3 Route and time estimates
Maps, distance, route, and drive-time information may be provided by third-party mapping services.
They are planning estimates and may not account for:
- traffic;
- ferries;
- weather;
- closures;
- vehicle restrictions;
- road conditions;
- driver-hours rules;
- loading/unloading;
- border or regulatory delays.
They are not guaranteed delivery times.
23.4 Shipment photos and evidence
Shipment photos, inspection images, signatures, timestamps, and tracking data are operational records. They do not guarantee condition, prove legal ownership, or replace an appropriate inspection, bill of lading, insurance claim process, or other legally required document.
23.5 Pricing, fees, and payment readiness
Shipment flows may display:
- provider compensation;
- Ride technology fees;
- taxes;
- dealer totals;
- payment authorization or hold state;
- provider payout state.
Amounts and conditions applicable to a shipment will be presented before the applicable commitment or authorization.
A payment authorization or hold is not necessarily a completed charge. The applicable shipment/payment flow controls.
23.6 Cancellations
Shipment, offer, bid, assignment, or delivery cancellations may be limited after certain states are reached and may result in fees where those fees are disclosed and lawful.
The cancellation rules shown for the shipment or in a separate logistics agreement control.
24. Provider and driver responsibilities
Providers and drivers using Ride represent that they:
- are legally permitted to provide the applicable delivery services;
- maintain required licences, registrations, insurance, and qualifications;
- keep compliance information current;
- will not accept new work when legally unable to perform it;
- will comply with safety, transportation, insurance, tax, and other applicable laws;
- will protect shipment-recipient and dealer information;
- will perform accepted obligations professionally.
A provider must promptly update Ride if required insurance, licensing, or eligibility information changes.
Ride may block new work when compliance requirements are missing, unverified, rejected, or expired.
25. Third-party services and links
Ride may integrate with or link to services provided by third parties, including:
- dealers;
- sellers;
- lenders;
- payment processors;
- maps and routing providers;
- communications services;
- identity/compliance services;
- dealer-management and inventory platforms.
Third-party services are governed by their own terms and privacy policies.
Ride is not responsible for a third party’s independent products, services, decisions, outages, representations, or conduct.
26. Service availability and changes
Ride may add, modify, suspend, discontinue, or restrict features.
We do not guarantee uninterrupted or error-free operation.
Maintenance, outages, security events, internet failures, third-party failures, or other circumstances can affect availability.
Where a paid service is materially discontinued, Ride will handle prepaid amounts in accordance with the applicable purchase terms and mandatory law.
27. Beta, preview, and “coming later” features
Features labelled beta, preview, test, experimental, “coming soon,” or “coming later” may be incomplete, unavailable, changed, or withdrawn.
Do not rely on unreleased functionality for critical business operations.
28. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Ride disclaims representations, warranties, and conditions not expressly stated in these Terms, including implied warranties or conditions of merchantable quality, fitness for a particular purpose, durability, accuracy, availability, and non-infringement, to the extent those disclaimers are lawful.
Ride does not warrant that:
- listings or user content are accurate;
- users will complete transactions;
- a particular buyer, seller, dealer, provider, lender, or other third party will perform;
- the Services will always be uninterrupted, secure, or error-free;
- recommendations, estimates, verifications, rankings, or calculations will be correct.
Nothing in these Terms excludes warranties, conditions, rights, remedies, or liabilities that cannot lawfully be excluded or limited.
29. Limitation of liability
To the fullest extent permitted by law, Ride and its affiliates, directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, business, or data, arising from or relating to the Services, marketplace transactions, third-party conduct, or these Terms, even if the possibility of such loss was known.
To the fullest extent permitted by law, Ride’s aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:
- the fees you paid directly to Ride for the specific Service giving rise to the claim during the 12 months before the event giving rise to liability; and
- CAD $100.
This limitation does not apply to liability that applicable law does not permit Ride to exclude or limit.
Some jurisdictions provide mandatory consumer protections, so some exclusions or limitations may not apply to you.
30. Indemnity
To the fullest extent permitted by law, if you use Ride as a dealer, commercial seller, provider, driver, or other business user, you will indemnify and hold harmless Ride and its affiliates, directors, officers, employees, and agents from third-party claims, liabilities, damages, costs, and reasonable legal expenses arising from:
- your listings, User Content, goods, services, or shipments;
- your breach of these Terms;
- your violation of law;
- your infringement of another person’s rights;
- your misuse of personal information;
- your acts or omissions in a marketplace sale, delivery, or other transaction.
For an individual consumer, this section applies only to the extent enforceable under applicable law.
Ride may assume control of the defence of a claim subject to indemnity, at its expense, without relieving obligations that remain applicable.
31. Suspension and termination
You may stop using Ride at any time.
Ride may suspend or terminate access where reasonably necessary because of:
- breach of these Terms;
- non-payment;
- fraud or suspected fraud;
- security risk;
- legal or regulatory requirements;
- misuse;
- repeated policy violations;
- threat to users, Ride, or third parties.
Termination does not eliminate accrued payment obligations, rights, remedies, or provisions that by their nature should survive.
32. Effect of account closure
Account closure may result in:
- removal or deactivation of listings;
- loss of access to dealer/provider tools;
- cancellation of future functionality subject to applicable purchase terms;
- retention of transaction, billing, shipment, compliance, audit, security, or legal records where permitted or required.
See the Privacy Policy for information about personal-information retention.
33. Notices and electronic contracting
You agree that contracts, notices, disclosures, and other communications may be provided electronically where permitted by law.
Actions such as:
- clicking an acceptance button;
- checking an acceptance box;
- submitting an order;
- purchasing a plan/add-on;
- accepting a provider offer;
- confirming another electronically designated action
may constitute electronic acceptance where the interface clearly indicates that consequence.
Ride may send account notices to the email address associated with your account or through the Services.
Keep your contact information current.
34. Consumer rights
These Terms are not intended to waive rights that applicable consumer-protection law makes non-waivable.
If you are a consumer and a mandatory law provides:
- required pre-contract disclosures;
- contract-copy requirements;
- cancellation rights;
- refund rights;
- jurisdictional rights;
- statutory warranties;
- other mandatory remedies,
those rights apply despite a conflicting provision in these Terms.
35. Governing law and courts
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law rules.
Subject to mandatory consumer-protection or jurisdictional rights that cannot be waived, you and Ride submit to the jurisdiction of the courts of British Columbia.
These Terms do not require a consumer to submit a dispute to pre-dispute arbitration or waive a right to participate in a class proceeding where applicable law prohibits such terms.
The parties may voluntarily agree to mediation, arbitration, or another dispute-resolution process after a dispute arises.
36. Changes to these Terms
Ride may update these Terms from time to time.
For material changes, Ride will provide notice appropriate to the circumstances, which may include:
- an in-product notice;
- email;
- posting revised Terms with a new effective date.
If applicable law requires express acceptance of a change, Ride will seek it.
Changes do not retroactively alter completed transactions except as permitted by law or agreed by the parties.
37. Assignment
You may not transfer your account or assign these Terms without Ride’s written consent.
Ride may assign these Terms in connection with a merger, reorganization, financing, acquisition, sale of business/assets, or transfer to an affiliate or successor, subject to applicable law.
38. Severability
If a court finds a provision unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
39. No waiver
If Ride does not enforce a provision immediately, that does not waive Ride’s right to enforce it later.
40. Entire agreement
These Terms, the Privacy Policy, applicable Ride policies, and any additional agreement that applies to a specific paid or specialized Service form the agreement between you and Ride regarding that Service.
They replace prior oral or written understandings about the same subject matter, except a signed agreement that expressly remains in effect.
